Representative Matters:

• Acted as General Counsel to a YC-backed startup from formation through successful exit to a Netherlands-based company, including negotiation of SAFE financing documents, investor documents and merger documents, along with day-to-day matters including drafting and negotiation of SaaS contracts, employment agreements, NDAs, vendor agreements and other company agreements and trademark filings.
• Advised founders of early-stage technology companies on entity selection and formation, founder equity splits, vesting schedules, IP ownership, and governance frameworks designed to support future institutional financing.
• Negotiated and drafted SaaS agreements, master services agreements, licensing arrangements, reseller agreements, and strategic partnership agreements for technology and software-enabled businesses.
• Advised an industrial warehousing company on a successful exit through the sale of the company to a private equity sponsor, including transaction structuring, diligence, and negotiation of definitive purchase agreements.
